Terms and Conditions

These Terms of Use ("Terms") govern your access to and use of the Tawil mobile application ("App") and associated services operated by Kode Kinetics LLC, a Virginia-based company ("we," "us," or "our"). By accessing, downloading, registering for, or using the App, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, you may not use the App.

1. Eligibility

You must be at least 13 years old to use the App. If you are under 18, you may only use the App under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

2. User Accounts

To access certain features, you may need to create an account. You agree to:

• Provide accurate and complete registration information.
• Maintain the confidentiality of your login credentials.
• Be responsible for all activity under your account.
• Notify us immediately of any unauthorized use at info@kodekinetics.com.

We reserve the right to suspend or terminate accounts suspected of violating these Terms or our policies.

3. Acceptable Use

You agree not to:

• Post or transmit unlawful, harmful, defamatory, obscene, or offensive content.
• Impersonate others or misrepresent your affiliation.
• Use the App for unauthorized commercial purposes without our consent.
• Interfere with or disrupt the integrity of the App, including through hacking or malware.
• Use automation, bots, or scraping tools to access or collect data.

We may remove content or suspend users at our sole discretion.

4. Intellectual Property

All intellectual property in the App, including content, features, software, and branding, is owned or licensed by Kode Kinetics LLC. You may not copy, reproduce, modify, or distribute any part of the App without our prior written consent.

You retain ownership of content you submit, but you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display it as necessary to operate the App.

5. User-Generated Content

You are solely responsible for content you post, including job listings, event promotions, marketplace items, or messages in community circles. We do not endorse or verify user content. We reserve the right (but not the obligation) to monitor, edit, or remove any content for any reason.

You agree not to upload content that:

• Violates any law or regulation.
• Infringes intellectual property or privacy rights.
• Contains hate speech, discrimination, or promotes violence.

6. Payments and Transactions

Certain features of the App may involve payments (e.g., donations, marketplace sales). All transactions are processed through secure third-party payment providers (e.g., Stripe, PayPal). We are not responsible for payment disputes or losses caused by third-party processors. You agree to comply with the terms of service of these payment providers.

7. Termination

We may suspend or terminate your account and access to the App at any time, without notice, for violations of these Terms or misuse of our services. You may delete your account by contacting info@kodekinetics.com.

8. Disclaimers

The App is provided "as is" without warranties of any kind, whether express or implied. We do not guarantee that the App will be error-free, secure, or uninterrupted. We disclaim liability for:

• Loss of data or access.
• Unauthorized account use.
• Issues caused by third-party tools or vendors.

9. Limitation of Liability

To the maximum extent permitted by law, Kode Kinetics LLC is not liable for indirect, incidental, special, or consequential damages, including but not limited to loss of data, profits, or goodwill. Our total liability is limited to the amount you paid us in the last 12 months (if any).

10. Indemnification

You agree to indemnify and hold harmless Kode Kinetics LLC, its officers, directors, and affiliates from any claims, liabilities, damages, and expenses (including legal fees) arising from:

• Your use or misuse of the App.
• Your violation of these Terms.
• Your violation of any law or third-party rights.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the courts in Prince William County, Virginia, USA.

12. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via the App or email. Your continued use of the App signifies acceptance of the updated Terms.
